Wow, where do I start???

There are a LOT of differences.

-For starters ICS completely revamps the appearance and theme - you get a nice cool blue and a new font (Roboto).
-The lockscreen offers a quick link to your camera (lots of manufacturers offer similar but we're just comparing stock vs. stock).
-If you have the Galaxy Nexus device they included your soft buttons in the screen (some say good some don't like) - the value behind this is when you're watching a movie or anything that doesn't require a touch you can utilize the entire screen.
-Hardware acceleration. From what I've read ICS isn't much of an upgrade in this dept vs. 3.x but they said in ICS and HC your graphics processor takes on more of the burden with everyday tasks.
-Data Usage with limits and warnings
-Battery Stats: better reporting and more useful history
-Widgets in App drawer: Now you can see what they look like before you plop em down

These are just a couple things I just came up with off the top of my head and I'm sure there are more. I'll say that having ICS I don't think I could go back to Gingerbread.

I can't speak much about security other than face unlock. I feel that is more gimmicky than anything, but I run my phone without any locks on it (yeah I have Google Wallet too, shame on me!)

Soft buttons - I don't even know if that's their official term, but they are built into the display and change based on what application you are using. They completely disappear when watching a movie or youtube vid allowing you to use the entire screen for the video.

You know how you have four buttons on the bottom of your phone? Menu, Home, Back, and Search - those aren't present in phones built for ICS (Galaxy Nexus is the only one I've seen so far) but they are built into the actual screen instead. This allows for a larger screen (4.65) while keeping the phone about the same size as a 4.3 device.

Oh, another addition to ICS is recent apps. There is a dedicated button (replaces search) that pulls up your recent applications. In ICS it actually shows you what the screen looks like instead of just seeing the icon in Gingerbread. Then you can close that application by swiping it off the screen. This doesn't actually act as a task manager but it does free up the memory in your phone of holding those screens. I use a System App that shows how much ram is available and when I'm swiping those screens off I can see my available ram increase.

Kinda a long winded explanation but that's my experience.

Overall ICS offers a LOT of upgrades v. GB!
