My guess is that the Prime won't get it anytime soon and I'm not sure if it's necessarily up to Asus but it's google making that decision of when we get JB

I am pretty sure it is actually Asus making that decision. Google releases JB to the manufacturers and then they do their thing with it i.e. customization, drivers, etc. Asus is probably holding back the Prime upgrade to concentrate on newer hardware with JB. They want us to buy a new tablet with JB rather than keep our older one that already received an upgrade to ICS. No money in it for them to upgrade us.

Yea, this topic is the nature of every phone and tablet. Will we or won't we receive the update, I guess that's why rooting makes these type of conversations pointless

That is entirely incorrect. Asus has already stated that the Prime WILL get JB, and that the Prime will be the next device that they will release the update for. On top of that, since Android is open-source software, Google has almost no say whatsoever in when companies release software updates. The make the code available to the general public, and then companies can do as they wish with it.
Also, to the OP: settle down. It's only been two months since JB was even announced. Things take time, and two months is hardly an eternity.
Asus is in a bit of a bind here. So far they have released several firmware updates for the TF201 that have been a bit rushed and buggy, so they are apparently trying to be thorough with this update, which is taking a while (but not that long, by the way; there are only three or four devices in the world at this point that are running JB officially) and people are getting impatient. Personally, I would rather have them take an extra month to totally test out and polish the update before they send it out.
Also, as I have mentioned a dozen times before, if you really cared that much about getting Jelly Bean on your Prime, you could have done it almost two months ago. There are a number of AOSP-based JB ROMs available for the Prime. Personally, I use Baked Black Bean, and it's fantastic for the most part.
Android isn't for everybody. If you are that worried about being able to upgrade immediately, then maybe you should buy an iPad and pay $100 more for 50% of the functionality.

Since JB was an incremental update from ICS, I'm not sure what's taking so long.

Again, JB was an incremental update, there wasn't a significant jump

I didn't have any buggy updates, all the updates made the tablet better, imo

Rooting, most people will not root their device

I Just Received The Official Jelly Bean Update From ASUS
Just want to let everyone know that the 4.1.1 Jelly Bean update is now live in the US. I just checked for the update not even 6 hours ago and was not available. However, it is now. I just received it here in Texas.
I'm really enjoying it! Having fun playing around with Google Now and voice search. Very cool app.
EDIT: I just thought I add that long pressing the home button no longer takes screen shots. Now when you long press the home button, it opens Google Now. To take screenshots you have to long press the Recent Apps button.
Here's proof of the update:

Install failed here. Wish I knew what the problem is.
My Prime has been the most unstable computer I have ever owned.......in a very long list. Was hoping JB would give me some help.

First time I tried to update I got a failure. I rebooted and tried again and it processed successfully.
nice really can't wait, just one more question does this actually remove flash completely? or is it just the stock browser that takes the hit.
Flash is still there. Elite gp app won't open now.uninstalled and reinstalled again, still the same. Had to reinstall film online again too. Well know more when I get to play with it a little more.

On a suggestion I saw elsewhere, did a reset and rebooted.
It came up with .28 as it was before I rebooted....but no update.
The update does not even appear anymore.
FWIW: I was rooted using the "Easyroot for .28" method listed in the "All things Root" forum here.
Bootloader was never unlocked.

i just got my update. it was around nine in the morning. it took about 10~15 minutes or so. after the update it's looking to run alittle better. heck a whole lot better. games like tapsonic and cytus are much much smoother, and bowsering and looking though the things on the tablet is much more relaxed and a lovely treat to go through. hope everyone else is happy with this update.

Yeah, I tried that.
The update failed to even appear after a reboot.
It's as though the update no longer exists for my device.....as though there never was an update.
Update worked flawlessly for me. Jelly Bean is sweet indeed! Everything is working quicker, including Nova launcher. Still playing with Google Now, don't really know my way around it yet.
Also, don't forget to get the $0.25 apps while they are available.....
A LOT of people on G+ are reporting a download failure. I've tried dozens of times with no luck. I've rebooted a couple of times to see if that made a difference but again, no luck. What's even more strange is that the JB update for any country doesn't appear on ASUS' website.
I am looking forward to the JB update here in the uk (nothing as of yet though), but just wanted to know, my prime is rooted, and i am assuming the update will break root, i have Voodoo OTA root keeper installed, is this going to be sufficient? Or is it a case of update, and then re-root? any help would be greatly appreciated.

Maybe their devices are rooted?
I downloaded and installed this morning. All was fine. It took a total of 10 minutes.
I set up a few things, but haven't played with the device.

Same here! I am rooted, but don't expect that's causing the problem.
One thing to check...I was running a modified gps.conf file to improve GPS performance. I switched back to the original file but still no luck.
Something to keep in mind for anyone who is using that GPS fix. Go back to the original file, or it'll likely cause problems for updates in general.

I made no such change, but that may help someone else.
At this point I have restored/unfrozen all apps and cleared data for and closed cmclient and dmclient and cold booted.....per other instructions I have found. After boot, an update check now fails because of no internet connection....even though I have internet access.
Had the update available but download failed. I only tried once since I only had 18% battery (can't find my wall charger). I'll give it another go soon.

I've been trying for the past 24 hours without success. I just sent a message to Gary to find out if the issue is due to overwhelmed servers. If I hear back from him, I'll post it here.

Been playing with jelly bean for last couple of hours and the tablet seems alot faster.Apps seem to load faster, games play well and the introduction of being able to lock the toolbar is great for the gamer.

Have you tried clearing data in settings, in manage applications then reboot the tablet.
This worked for me then I was able to download the update. After it was finished, I did a factory reset of the tablet and this thing flies now. No issues whatsoever although Bad Piggies is force closing but I'm sure that's on Rovio's side
I had a hard time trying to download myself. But I gave it a few hours and tried again with no problem. So I have Jellybean now. But can someone list or give me a link to the features of JB? I notice it does move smoother and faster but what other new features does it have?

Still stuck on ics.
Funny though....until now i never knew of cold booting.
Many of the problems i have with my prime cleared up after one or more cold boots.
It has never run so well.
