Default 2 adb processes?

I am running under windows 7 pro. When I start adb from a cmd prompt e.g. "adb shell" I see 2 adb processes starting up in task manager. I can exit the shell via ctrl-C and one of the adb processes closes but the other ones remains. Any ideas why?

adb has a background server component of itself.

You kill the server process with:

adb kill-server

Ah OK - and is this background server the cause of mesages like "adb server is out of date. killing... " when invoking adb in a script?
