Default Cannot get my Google Nexus 7 to upgrade

My interesting problem is that my Google Nexus 7 tablet(Build number JZ054K) bought in South Africa is running Android 4.1.2 and tells me every few days(via a notification) that an update is available but no matter what I have tried it never updates. It goes through all the motions but I am still on Android 4.1.2?
My wife's Google Nexus 7 tablet(Build number JOP40D) bought in Europe is running 4.2.1 happily but not mine.
Please tell me how to get mine updated.

Is your N7 rooted? Have you frozen any apps? These would be the simple things that may prevent the update from installing properly. Let me know. We'll try and get this sorted.

I'd do a backup then factory reset, and see if it will update after.

As mentioned above, a rooted device will prevent the update. You can either unroot and take the ota, or flash one of the many ROMs that are already based on 4.2.1
