do you think if I did the same to vista64.. put the sys and dll files in windows/system32.... would it work?

It will if they're missing from system 32 like they were on mine - even after following all HTC's advice

Ok finally got somewhere

Seems that HTC Sync 64 drivers refuse to install correctly in W7.
Works fine in Vista.

So I've uploaded (hope HTC don't mind) the 64 bit drivers so you can manually place them in C:\Program Files (x86)\HTC\HTC Driver\Driver Files\Vista_x64

If you don't have the ADB driver installed anyway, or just change the incorrectly installed one, find that device in Windows (Devices and Printers -> Android Phone, double click -> Hardware) and do an Update driver pointed at that location. It should then come back as "My HTC".

Sorry i reading evrything here . i've try to instal sync and always one Error ... HTC driver not found and tc... i,ve try with the link up ... but where i have to put it ... to work this sync ... thank you

I had this same exact problem. Drove me nuts. Read somewhere that there might be a conflict with iTunes. Fortunately, my iTunes is on an external hard drive. I unplugged it, reloaded the HTC Sync software and it booted right up with no errors. If you can somehow 'disable' iTunes, or disconnect any external hard drives, give it a shot. It might work for you like it did me. Good luck!!!
